Terms of Service

Please read carefully. These Terms form the legal agreement between your clinic and Flexonixs for use of the FlexCare platform.

1. Acceptance of Terms

By registering for or using FlexCare HMS ("the Service"), you ("Clinic", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are registering on behalf of a clinic or organisation, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

FlexCare HMS is a cloud-based hospital and clinic management platform provided by Flexonixs ("Company", "we", "us"). The Service includes appointment management, electronic medical records, digital prescriptions, pharmacy management, billing, lab management, nursing tools, analytics, and patient engagement features — available as modular add-ons.

We reserve the right to update, modify, or discontinue features of the Service with reasonable notice.

3. Account Registration & Eligibility

To use FlexCare, you must:

- Be at least 18 years of age - Be a licensed healthcare provider or authorised clinic representative - Provide accurate and complete registration information - Maintain the security of your login credentials

You are responsible for all activity that occurs under your account. Notify us immediately at support@flexcare.in if you suspect unauthorised access.

4. Subscription & Payment

**Plans & Pricing** FlexCare is offered on a monthly or annual subscription basis. Pricing is based on the Base Platform fee plus add-on module packs you select. Current pricing is displayed at flexcare.in/pricing.

**Billing** Subscriptions are billed in advance. Monthly subscriptions renew on the same day each month. Annual subscriptions renew after 12 months.

**Payment** Payments are processed via Razorpay. We accept UPI, credit/debit cards, and net banking. All amounts are in Indian Rupees (INR) and inclusive of applicable GST.

**Failed Payments** If a payment fails, we will retry for 3 days. If payment is not received within 7 days, the account will be suspended. Data is retained for 30 days after suspension before deletion.

**Price Changes** We will notify you at least 30 days before any price increase. You may cancel before the new price takes effect.

5. Free Trial

New accounts receive a 14-day free trial with full access to all modules. No credit card is required to start a trial. At the end of the trial, you must select a paid plan to continue using the Service.

We reserve the right to modify or discontinue the free trial offer at any time.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, incorporated into these Terms by reference.

**Your Data** Patient records, prescriptions, billing data, and all other clinic data you enter into FlexCare ("Your Data") remains your property. We process Your Data only as instructed by you to provide the Service.

**Data Processing** By using FlexCare, you appoint Flexonixs as a data processor under the Digital Personal Data Protection Act 2023. You are the data fiduciary responsible for obtaining valid consent from patients before entering their data into the platform.

**Data Portability** You may export Your Data at any time using the export tools in the dashboard.

7. Acceptable Use

You agree not to use FlexCare to:

- Enter false, misleading, or fraudulent patient information - Access another clinic's data or attempt to breach tenant isolation - Reverse engineer, decompile, or attempt to extract source code - Use the platform for any purpose that violates applicable Indian law - Share your login credentials with unauthorised persons - Attempt to overload, disrupt, or damage platform infrastructure - Send unsolicited communications to patients beyond clinical necessity

Violation of these terms may result in immediate account suspension without refund.

8. Medical Disclaimer

FlexCare is a practice management and record-keeping tool. It does not provide medical advice, diagnosis, or treatment. The platform does not replace the clinical judgment of qualified healthcare professionals.

Drug interaction warnings and alerts in the Pharmacy Pack are provided as informational aids only. Prescribing decisions remain the sole responsibility of the treating physician.

9. Uptime & Service Availability

We target 99.9% uptime, measured monthly. Planned maintenance windows will be announced at least 24 hours in advance (except emergency security patches).

In the event of extended downtime (>4 hours in a calendar month), affected clinics may request a prorated credit for the affected days. Credits are applied to the next invoice and are the sole remedy for downtime.

10. Intellectual Property

All software, code, design, trademarks, and content that make up the FlexCare platform are owned by Flexonixs and protected under applicable Indian intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use the platform for your clinic's internal operations during your active subscription.

Your Data remains yours. We claim no intellectual property rights over the clinical data you enter.

11. Cancellation & Termination

**By You** You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused days in the current period.

After cancellation, your data is retained for 90 days. You may export your data during this window. After 90 days, data is permanently deleted.

**By Us** We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. In cases of non-payment, we will provide 7 days' notice before suspension.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Flexonixs shall not be liable for:

- Loss of data (beyond our backup and recovery commitments) - Indirect, incidental, or consequential damages - Any clinical or medical outcomes resulting from use of the platform - Losses arising from third-party service failures (payment processors, SMS providers, etc.)

Our total liability to you in any calendar month shall not exceed the subscription fees paid by you in that month.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

14. Changes to Terms

We may update these Terms from time to time. We will notify you via email and in-app notification at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
